1. Terms of Service Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Neumosys LLC ("Neumosys," "we," "us," or "our"), the owner and operator of Neume (the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any portion of these Terms, you must immediately discontinue use of the Service. Your continued use of the Service signifies your acceptance of these Terms and any future modifications.

2. Age Requirements and Eligibility

To use the Service, you must be at least 13 years of age. If you are between the ages of 13 and 17, you may use the Service only under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service, you represent and warrant that you meet all applicable eligibility requirements, including compliance with local laws and regulations. If you do not meet these requirements, you must refrain from using the Service.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account using a valid email address and verify it through our designated authentication provider. You must provide accurate, complete, and up-to-date information. Creating multiple accounts to bypass limitations, exploit pricing, promotions, or features is strictly prohibited.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. All activity conducted through your account is your responsibility. If you suspect unauthorized access, you must notify us immediately. Neumosys may suspend or terminate accounts associated with suspicious or abusive activity.

4. Credits, Subscriptions, and Payments

4.1 Credit System

The Service operates on a credit-based system.

Subscription Credits
Credits included with an active subscription plan. These credits replenish on each billing cycle and are valid only while the subscription remains active.

Top-up Credits
Additional credits that can be purchased separately. Top-up credits do not require an active subscription and remain valid until used, unless otherwise stated at the time of purchase.

Credits cannot be transferred, resold, exchanged, or redeemed for cash. Abuse of the credit system may result in forfeiture of credits or account suspension.

4.2 Subscriptions, Pricing, and Grandfathered Plans

Subscription pricing may change over time.

Users who subscribed before December 1, 2025, and who maintain their subscription without cancellation, will retain their original subscription pricing. If such a subscription is canceled or lapses for any reason, reinstatement will be subject to current pricing.

Subscriptions automatically renew unless canceled through the platform where the purchase was made.

4.3 Payments

Payments are processed through third-party platforms including Apple App Store, Google Play Store, and Stripe. By subscribing or purchasing credits, you authorize applicable charges at the start of each billing cycle or at the time of purchase. Failed payments may result in loss of access to subscription benefits.

4.4 Refund Policy

Refunds are granted at Neumosys's discretion and are limited to technical failures or service errors attributable to our systems. Requests must be submitted within 7 days of the issue. Refunds are not provided for dissatisfaction with generated content, unused credits, or violations of these Terms.

5. Content and Intellectual Property

5.1 Original Content

"Original Content" means songs and other output you create with the Service from your own prompts, descriptions or lyrics you have the right to use, without starting from audio or other material you upload. This applies however you use the Service, including through the Neume apps, website, API and connected AI assistants.

You own your Original Content and may use it for personal or commercial purposes, including in monetized videos, streams, podcasts, advertising and client work.

By using the Service, you grant Neumosys a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content for operating, improving, training models for, and promoting the Service. This license is perpetual and irrevocable.

5.2 Uploaded Material and Songs Made From It

Some features let you upload audio or other material and change it, for example by replacing its lyrics, reimagining it in a new style, extending it, or making a new song from a recording ("Uploaded Material"). Anything you create from Uploaded Material is "Derived Content".

• You may only upload material that you own or have all the rights and permissions needed to upload and use with the Service. By uploading, you confirm that you have those rights.
• You are solely responsible and liable for anything you upload and for how you use or share any Derived Content. Neumosys is not responsible for Uploaded Material or for any claim that it, or Derived Content made from it, infringes anyone's rights.
• Neumosys does not own, and cannot grant, any rights in Uploaded Material or in the recordings, compositions or lyrics it contains. Changing, remixing or re-singing Uploaded Material with the Service does not give you any rights to it. Those rights stay with their owners.
• Derived Content is not Original Content, and the commercial-use permission in section 5.1 does not apply to it. You may use Derived Content only as far as the owners of the Uploaded Material allow, and you are solely responsible for getting any permissions you need.
• If you own all rights in the Uploaded Material, for example a recording of a song you wrote and performed, you may use the Derived Content as you would Original Content.
• Neumosys may remove Uploaded Material or Derived Content, and may suspend or terminate accounts, in response to infringement claims or repeated infringement.

You agree to indemnify and hold harmless Neumosys and its affiliates, officers, employees and agents from any claims, damages, losses, costs and expenses, including reasonable legal fees, arising from Uploaded Material you provide, Derived Content you create or share, or your breach of this section.

5.3 Content Restrictions

You agree not to create or distribute content that:

• Promotes hate, discrimination, or violence
• Infringes intellectual property rights
• Facilitates illegal activities
• Exploits or harms minors
• Violates privacy or personal rights

Violations may result in content removal, suspension, or termination.

5.4 Platform Behavior

Harassment, abuse, spam, or disruptive behavior is prohibited. Neumosys reserves the right to moderate or remove content or interactions at its discretion.

6. Prohibited Activities

You may not:

• Use bots, automation, or scraping tools
• Circumvent security or technical safeguards
• Create multiple accounts to exploit pricing or credits
• Resell or transfer credits
• Engage in fraudulent or illegal activity
• Disrupt the Service or other users

Violations may result in immediate suspension or termination.

7. International Use

The Service is operated from the United States. You agree to comply with all applicable local laws. Users from jurisdictions under U.S. trade restrictions may not use the Service. Transactions are conducted in U.S. dollars, and you are responsible for applicable taxes or fees.

8. Service Availability and Modifications

We do not guarantee uninterrupted access to the Service. Features may be modified, suspended, or discontinued at any time. Occasional downtime is expected.

9. Dispute Resolution

9.1 Informal Resolution

Disputes should first be addressed through informal negotiation.

9.2 Arbitration

If unresolved, disputes will be settled by binding arbitration under the rules of the American Arbitration Association, conducted in Wyoming. You waive the right to a jury trial.

9.3 Governing Law

These Terms are governed by the laws of the State of Wyoming.

10. Limitation of Liability

To the fullest extent permitted by law, the Service is provided "as is". Neumosys is not liable for indirect or consequential damages. Total liability shall not exceed the amount paid by you in the six months preceding the claim.

11. Termination

Neumosys may suspend or terminate your account, or restrict your access to the Service, at any time and without prior notice, including for violations of these Terms. Neumosys is not required to give a reason for any suspension or termination. Termination may result in loss of access and forfeiture of remaining credits.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with the changes, you must discontinue use of the Service.
