1. Terms of Service Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Neumosys LLC ("Neumosys," "we," "us," or "our"), the owner and operator of Neume (the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any portion of these Terms, you must immediately discontinue use of the Service. Your continued use of the Service signifies your acceptance of these Terms and any future modifications.

2. Age Requirements and Eligibility

To use the Service, you must be at least 13 years of age. If you are between the ages of 13 and 17, you may use the Service only under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Service, you represent and warrant that you meet all applicable eligibility requirements, including compliance with local laws and regulations. If you do not meet these requirements, you must refrain from using the Service.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account using a valid email address and verify it through our designated authentication provider. You must provide accurate, complete, and up-to-date information. Creating multiple accounts to bypass limitations, exploit pricing, promotions, or features is strictly prohibited.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. All activity conducted through your account is your responsibility. If you suspect unauthorized access, you must notify us immediately. Neumosys may suspend or terminate accounts associated with suspicious or abusive activity.

4. Credits, Subscriptions, and Payments

4.1 Credit System

The Service operates on a credit-based system.

Subscription Credits
Credits included with an active subscription plan. These credits replenish on each billing cycle and are valid only while the subscription remains active.

Top-up Credits
Additional credits that can be purchased separately. Top-up credits do not require an active subscription and remain valid until used, unless otherwise stated at the time of purchase.

Credits cannot be transferred, resold, exchanged, or redeemed for cash. Abuse of the credit system may result in forfeiture of credits or account suspension.

4.2 Subscriptions, Pricing, and Grandfathered Plans

Subscription pricing may change over time.

Users who subscribed before December 1, 2025, and who maintain their subscription without cancellation, will retain their original subscription pricing. If such a subscription is canceled or lapses for any reason, reinstatement will be subject to current pricing.

Subscriptions automatically renew unless canceled through the platform where the purchase was made.

4.3 Payments

Payments are processed through third-party platforms including Apple App Store, Google Play Store, and Stripe. By subscribing or purchasing credits, you authorize applicable charges at the start of each billing cycle or at the time of purchase. Failed payments may result in loss of access to subscription benefits.

4.4 Refund Policy

Refunds are granted at Neumosys's discretion and are limited to technical failures or service errors attributable to our systems. Requests must be submitted within 7 days of the issue. Refunds are not provided for dissatisfaction with generated content, unused credits, or violations of these Terms.

5. Content and Intellectual Property

5.1 User-Generated Content

You retain ownership of the content you generate using the Service. By using the Service, you grant Neumosys a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for operating, improving, training models for, and promoting the Service. This license is perpetual and irrevocable. You may use your generated content for personal or commercial purposes.

5.2 Content Restrictions

You agree not to create or distribute content that:

  • Promotes hate, discrimination, or violence
  • Infringes intellectual property rights
  • Facilitates illegal activities
  • Exploits or harms minors
  • Violates privacy or personal rights

Violations may result in content removal, suspension, or termination.

5.3 Platform Behavior

Harassment, abuse, spam, or disruptive behavior is prohibited. Neumosys reserves the right to moderate or remove content or interactions at its discretion.

6. Prohibited Activities

You may not:

  • Use bots, automation, or scraping tools
  • Circumvent security or technical safeguards
  • Create multiple accounts to exploit pricing or credits
  • Resell or transfer credits
  • Engage in fraudulent or illegal activity
  • Disrupt the Service or other users

Violations may result in immediate suspension or termination.

7. International Use

The Service is operated from the United States. You agree to comply with all applicable local laws. Users from jurisdictions under U.S. trade restrictions may not use the Service. Transactions are conducted in U.S. dollars, and you are responsible for applicable taxes or fees.

8. Service Availability and Modifications

We do not guarantee uninterrupted access to the Service. Features may be modified, suspended, or discontinued at any time. Occasional downtime is expected.

9. Dispute Resolution

9.1 Informal Resolution

Disputes should first be addressed through informal negotiation.

9.2 Arbitration

If unresolved, disputes will be settled by binding arbitration under the rules of the American Arbitration Association, conducted in Wyoming. You waive the right to a jury trial.

9.3 Governing Law

These Terms are governed by the laws of the State of Wyoming.

10. Limitation of Liability

To the fullest extent permitted by law, the Service is provided "as is". Neumosys is not liable for indirect or consequential damages. Total liability shall not exceed the amount paid by you in the six months preceding the claim.

11. Termination

Neumosys may suspend or terminate accounts for violations of these Terms. Termination may result in loss of access and forfeiture of remaining credits.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with the changes, you must discontinue use of the Service.
